Terms of Services Overview
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Rider,” or “Driver”) and Shaxi Mobility (“Shaxi,” “we,” “us,” or “our”), governing your access to and use of the Shaxi mobile application (the “App”) and related services (collectively, the “Service”).
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy [1]. If you do not agree with these Terms, you may not access or use the Service.
1. Introduction to Shaxi
Shaxi is a technology platform that connects riders seeking transportation services with independent third-party drivers who provide such services. The Service facilitates the arrangement of on-demand transportation in Ghana, allowing riders to request rides and drivers to accept and complete those rides to designated destinations. Shaxi does not provide transportation services itself, nor does it function as a transportation carrier. Our role is solely to provide the platform for users to connect and arrange transportation.
2. Acceptance of Terms
Your access to and use of the Shaxi App and Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By clicking “I agree,” checking a box, or otherwise signifying your acceptance, or by simply accessing or using any part of the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. User Accounts and Registration
To access most features of the Shaxi App, you must register for and maintain an active personal user account. You must be at least 18 years of age, or the age of legal majority in your jurisdiction (if different from 18), to obtain an Account. Account registration requires you to submit certain personal information, such as your name, address, mobile phone number, and age, as well as at least one valid payment method (either a credit card or an accepted digital payment partner).
You agree to maintain accurate, complete, and up-to-date information in your Account. Your failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access and use the Service or Shaxi’s termination of these Terms with you.
You are responsible for all activity that occurs under your Account, and you agree to maintain the security and secrecy of your Account username and password at all times. Unless otherwise permitted by Shaxi in writing, you may only possess one Account.
4. Rider and Driver Responsibilities
4.1. Rider Responsibilities
As a Rider, you agree to:
- Provide accurate pickup and destination information.
- Be ready at the designated pickup location at the scheduled time.
- Treat drivers with respect and courtesy.
- Pay the applicable fares and fees for services rendered.
- Comply with all applicable laws and regulations during the ride.
- Not engage in any unlawful, abusive, or inappropriate behavior while using the
Service.
4.2. Driver Responsibilities
As a Driver,, you agree to:
- Maintain a valid driver’s license and all necessary permits and licenses required by Ghanaian law to operate a vehicle for ride-hailing services.
- Ensure your vehicle is in good operating condition, properly registered, insured, and meets all safety standards Ghanaian law requires.
- Provide safe, reliable, and professional transportation services to Riders. Treat Riders with respect and courtesy.
- Comply with all applicable traffic laws and regulations in Ghana.
- Not discriminate against Riders based on race, religion, nationality, disability, sexual orientation, sex, marital status, or any other protected characteristic.
- Not engage in any unlawful, abusive, or inappropriate behavior while providing services.
5. Payments and Billing
5.1. Fares and Charges
You understand that use of the Service may result in charges to you for the services you receive from a Driver (“Charges”). Charges will be inclusive of applicable taxes where required by law. Charges may include other applicable fees, tolls, and/or surcharges, including a booking fee, municipal tolls, airport surcharges or processing fees for split payments.
Shaxi reserves the right to establish, remove and/or revise Charges for any or all services obtained through the use of the Services at any time in Shaxi’s sole discretion. Further, you acknowledge and agree that Charges applicable in certain geographical areas may increase substantially during times of high demand. Shaxi will use reasonable efforts to inform you of Charges that may apply, provided that you will be responsible for Charges incurred under your Account regardless of your awareness of such Charges or the amounts thereof.
5.2. Payment Processing
All Charges are due immediately and payment will be facilitated by Shaxi using the preferred payment method designated in your Account, after which Shaxi will send you a receipt by email. If your primary Account payment method is determined to be expired, invalid or otherwise not able to be charged, you agree that Shaxi may use a secondary payment method in your Account, if available.
5.3. Cancellations and Refunds
Cancellation policies and associated fees will be clearly communicated within the App. Refunds, if applicable, will be processed according to Shaxi’s refund policy, which may be updated from time to time.
6. Restricted Behavior
Users of the Shaxi App and Service are prohibited from:
- Using the Service for any unlawful purpose or in any way that violates applicable local, national, or international law.
- Harassing, abusing, or threatening any other user (Rider or Driver) or Shaxi personnel.
- Damaging the vehicle of a Driver or any property associated with the Service.
- Providing false, inaccurate, or misleading information during registration or while using the Service.
- Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
- Interfering with or disrupting the integrity or performance of the Service or the data contained therein.
- Attempting to gain unauthorized access to the Service or its related systems or networks.
- Using any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
- Introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
7. User Content
Shaxi may, in its sole discretion, permit you from time to time to submit, upload, publish or otherwise make available to Shaxi through the Services textual, audio, and/or visual content and information, including commentary and feedback related to the Service, initiation of support requests, and submission of entries for competitions and promotions (“User Content”). Any User Content provided by you remains your property.
However, by providing User Content to Shaxi, you grant Shaxi a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Services and Shaxi’s business and on third-party sites and services), without further notice to or consent from you, and without requirement of payment to you or any other person or entity.
You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents and releases necessary to grant Shaxi the license to the User Content as set forth above; and (ii) neither the User Content nor your submission, uploading, publishing or otherwise making available of such User Content nor Shaxi’s use of the User Content as permitted herein will infringe, misappropriate or violate a third party’s intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
You agree not to provide User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, as determined by Shaxi in its sole discretion, whether or not such material may be protected by law. Shaxi may, but • • • • • • shall not be obligated to, review, monitor, or remove User Content, at Shaxi’s sole discretion and at any time and for any reason, without notice to you.
8. Intellectual Property Rights
The Service and all intellectual property rights related to it, including but not limited to copyrights, trademarks, service marks, logos, and patents, are the exclusive property of Shaxi Mobility or its licensors. These Terms do not grant you any right, title, or interest in or to the Service or any intellectual property rights owned by Shaxi. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally and ordinarily permitted through the Service’s functionality.
9. Disclaimers; Limitation of Liability; Indemnity
9.1. Disclaimers
The Service is provided “as is” and “as available.” Shaxi disclaims all representations and warranties, express, implied, or statutory, not expressly set out in these terms, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. In addition, Shaxi makes no representation, warranty, or guarantee regarding the reliability, timeliness, quality, suitability, or availability of the services or any services or goods requested through the use of the services, or that the services will be uninterrupted or error-free. Shaxi does not guarantee the quality, suitability, safety or ability of third-party providers. You agree that the entire risk arising out of your use of the services, and any service or good requested in connection therewith, remains solely with you, to the maximum extent permitted under applicable law.
9.2. Limitation of Liability
Shaxi shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage related to, in connection with, or otherwise resulting from any use of the services, regardless of the negligence (either active, affirmative, sole, or concurrent) of Shaxi, even if Shaxi has been advised of the possibility of such damages.
Shaxi shall not be liable for any damages, liability or losses arising out of: (i) your use of or reliance on the services or your inability to access or use the services; or (ii) any transaction or relationship between you and any third-party provider, even if Shaxi has been advised of the possibility of such damages. Shaxi shall not be liable for delay or failure in performance resulting from causes beyond Shaxi’s reasonable control. You acknowledge that third-party transportation providers providing transportation services requested through some request products may offer ridesharing or peer-to-peer transportation services and may not be professionally licensed or permitted.
9.3. Indemnity
You agree to indemnify and hold Shaxi and its affiliates and their officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees), arising out of or in connection with: (i) your use of the Services or services or goods obtained through your use of the Services; (ii) your breach or violation of any of these Terms; (iii) Shaxi’s use of your User Content; or (iv) your violation of the rights of any third party, including Third Party Providers.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, shall be finally settled by arbitration in accordance with the rules of the Ghana Arbitration Centre. The language of the arbitration shall be English. The decision of the arbitrator(s) shall be final and binding on both parties.
11. Changes to Terms
Shaxi reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
